Common terms of sale and delivery fra Farum data

Use and validity

In the extent that the following terms of sale and delivery isn't deviated by written agreement, any delivery is on terms of them.

Offer

Sellers offer is valid 2 weeks from the day of the offer. The buyers acceptance has to be in the hands of the seller before the offer expires.

Prices and insurance

Stated prices is excl. value added tax and others similar public taxes.

Documented changes in foreign exchange quotations which occur after seller places an offer or confirmation of order, and has an effect on prices of the seller, is debited/credited as an extra charge/deduction on stated prices.

The price given is based on quotations from our supplier(s). These quotations can contain reservations with regard to price fluctuations (especially for items like harddisks, RAM, etc). Our prices will be modified accordingly.

Shipment is paid by buyer, while the shipment is insured by seller.

Any damage on merchandaise has to be reported to seller immidiately, and shall be accompanied by a declaration from the transportation agent.

Expedition fee

For any order with a net cost less and services on a cost less than DKK 1.000 excl. VAT an invoicing fee on DKK 60.00 is added.

Payment / Reminders

Payment is due according to sellers terms of payment. Seller takes reservations on the right to change terms of payment agreed upon, in case that buyers ability to pay is reduced, or that the final date of payment is exceeded repeatedly.

Payment is due in sellers financial institutuin no later than the 2. workday after the due day, which is stated on the invoice. Any delayed payment carries with it calculation of interest on overdue payment, presently 1.0% of invoice amount (excl. VAT) for each month thereof.

First reminder is sent 10 days after day of payment, 2nd reminder after 21 days, and 3rd and final reminder 1 month after due date.

Fees of reminders is DKK 100 plus VAT.

Herafter the claim is handed over to a debt-collection firm. While the case is not finished, no further delivery can occur.

In case a interest bill is not payed, it will be included on the next invoice.

If the customer insists on the work being done outside normal work-hours, the hourly fee/standard price is raised as follows:

• Workdays 1600-1900 (4 pm. - 7 pm.): + 50 %.
• Other times: + 100 %

Ownership

Seller has ownership of any delivery, until received payment.

Exclusive rights and copyrights

All programs, delivered by seller, except contract programming, is protected by copyright in accordance with legislation and international conventions. Buyer is obliged to respect this protection. However buyer is permitted to make backups of the software as needed.

Sellers responsibility etc.

Seller is only resposible for the deliverys suitability for a specific purpose if the seller has been involved in the decision-making process.

Buyers complaint on a faulty delivery is to be put forward in writing for seller, immediately after that the shortage is or should have been established. Buyer is obligated to immediately at acceptance of a delivery to perform necessary examinations to establish that the delivery is in accordance with the contract ("test of system")

If a delivery is faulty, seller is entitled to rectify the fault by redeliver or repair the faulty delivery. In case of sellers service is processing buyers products, e.g. modification of a PC, sellers responsibility is limited to an amount according to the payment agreed upon excl. VAT.

Buyers responsibility

It is buyers responsibility that there is usable systembackups at anytime, including CD's and others so that the system can be reestablished from scratch. If these backups are not available the time used is being invoiced in accordance to the hourly fee.

Service contract

If a service contract is agreed upon concerning the items bought, this service contracten is valid along with these terms.

Speciel conditions concerning service conversion

Buyer is responsible for at first time conversion a table over affected machines character set is forwared, as well as a recordlayout if relevant.

Alternatively a dummyrecord can be created in which all special character is represented.

Conversion is often rather complicated, which is why it is not possible to check all records. The start of the file ( 10-20 records) is always checked carefully, as is the last part of the file.
In between, random checks are performed.
